Subscription & Auto-Renew Terms

Effective Date: May 20, 2025

These Subscription Terms supplement and form part of the
Terms of Service. By subscribing to a paid SymPedia plan,
you agree to these terms in addition to the main Terms.

1. Plan Options

SymPedia currently offers two plans: Free and My SymPedia (Paid).
Features available depend on your selected plan. Details are displayed at sign-up
and may change from time to time.

2. Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle
(monthly or annually, as chosen at purchase) unless canceled.
By subscribing, you authorize recurring charges to your designated
payment method until you cancel.

3. Billing & Payment

Payments are processed securely through Stripe.
We do not store full credit card numbers on our servers.
You are responsible for keeping your billing information current.

4. Cancellations

You may cancel your subscription at any time through your account settings.
Access to premium features will continue until the end of the current billing cycle.
No refunds are issued for partial periods (see
Refund Policy).

5. Trials & Promotions

From time to time, SymPedia may offer free trials or promotional discounts.
Eligibility, duration, and renewal terms will be disclosed at sign-up.
At the end of a trial or promotion, the subscription converts to the standard
paid plan unless canceled before renewal.

6. Price Changes

We may change subscription pricing in the future. If we do, we will provide
advance notice, and you will have the option to cancel before the new rate
takes effect.

7. Payment Failures

If payment cannot be processed, your subscription may be suspended or terminated.
We may retry the charge or request that you update your payment method.

8. Governing Terms

These Subscription Terms work together with our
Terms of Service and

Refund & Cancellation Policy

Effective Date: May 20, 2025

This Refund & Cancellation Policy supplements and forms part of the
Terms of Service for SymPedia, a service of
VerifyMD Inc. It explains how cancellations work and when (if ever)
refunds may be available.

1. Cancellations

  • You may cancel your paid subscription at any time from
    Account → Manage Plan within the app.
  • Cancellations take effect at the end of your current billing period.
    You will continue to have access to paid features until that time.
  • Deleting the app or failing to use the Service does not cancel your subscription.

2. Auto-Renewal

Subscriptions renew automatically (monthly or annually as selected) until you cancel.
By subscribing, you authorize recurring charges to your saved payment method.

3. Refunds

  • All payments are non-refundable, including partial periods.
  • We do not issue credits or refunds for unused time, downgrades, or
    early termination within an active billing period.
  • Where required by applicable law, you may be entitled to a refund or withdrawal
    right; in such cases, statutory rights will apply.

4. Trials & Promotions

  • If your plan includes a free trial or promotional pricing, standard billing begins
    when the trial or promotion ends unless you cancel beforehand.
  • Trials and promotions are time-limited and may have eligibility restrictions.
    See offer terms presented at sign-up.

5. Plan Changes & Proration

  • Upgrades may be prorated at our discretion; credits (if any) are applied to future invoices and are
    not redeemable for cash.
  • Downgrades take effect at the next renewal. We do not refund differences for the remaining time in the current period.

6. Payment Failures & Access

  • If a renewal charge fails, we may suspend or limit access until payment is successful or the plan is cancelled.
  • We may retry the charge and/or prompt you to update your payment method.

7. Chargebacks

Filing a chargeback for valid subscription charges may result in immediate suspension or termination.
We reserve the right to contest chargebacks and to recover any associated costs.

8. How to Cancel

  1. Open the app and go to Account → Manage Plan.
  2. Select Cancel Plan and follow the prompts.
  3. Your plan remains active until the end of the current billing period.

Data Processing Addendum (DPA)

Effective Date: May 20, 2025

This Data Processing Addendum (“DPA”) supplements the Terms of Service
and applies when VerifyMD Inc. (“SymPedia”) processes personal data on behalf of customers
located in the European Economic Area (EEA), United Kingdom (UK), Switzerland, or other regions
where data protection laws (such as GDPR or UK GDPR) apply.

1. Roles of the Parties

Customer acts as the data controller and determines the purposes and means of processing
personal data. SymPedia acts as the data processor and processes personal data only
in accordance with documented instructions from the customer.

2. Scope of Processing

  • Account information (email, login credentials).
  • Billing information (processed by Stripe; SymPedia stores non-sensitive metadata only).
  • Device and diagnostic data (used to maintain and improve services).

SymPedia does not process medical records or identifiable health information on behalf of customers.

3. Sub-Processors

SymPedia may engage trusted sub-processors such as:

  • Stripe (payments)
  • Google AdMob (advertising for free users)

4. Data Transfers

SymPedia is based in the United States. When processing personal data subject to GDPR or UK GDPR,
we rely on appropriate safeguards, such as the EU Standard Contractual Clauses (SCCs)
or other valid transfer mechanisms.

5. Security Measures

SymPedia implements appropriate technical and organizational measures including:

  • Encryption in transit and at rest (where supported).
  • Password hashing with industry standards.
  • Role-based access controls.
  • Regular monitoring for vulnerabilities.

6. Data Subject Rights

SymPedia assists customers in responding to data subject requests (access, correction, deletion,
restriction, portability) where legally required and technically feasible.

7. Duration & Deletion

SymPedia processes personal data for as long as necessary to provide the Services.
Upon termination, personal data will be deleted or returned as required by law,
except where retention is required by legal obligations.

8. Audits

Customers may request reasonable information regarding SymPedia’s compliance with this DPA.
External audits may be performed where legally required, subject to confidentiality agreements.

The liability provisions of the Terms of Service apply equally to this DPA.

DMCA / Copyright Policy

SymPedia, a service of VerifyMD Inc., respects intellectual property rights and expects users
to do the same. This page explains how to submit a DMCA takedown notice and, if applicable,
a counter-notification under 17 U.S.C. §512.

2) What Happens After We Receive a Valid Notice

  • We may remove or disable access to the reported material.
  • We may notify the user who posted the material.
  • We may terminate repeat infringers where appropriate under our Terms of Service.

3) Submitting a Counter-Notification

If your content was removed due to a DMCA notice and you believe the removal was a mistake or the content was
misidentified, you may submit a counter-notification (17 U.S.C. §512(g)(3)) that includes:

  1. Your physical or electronic signature.
  2. Identification of the material that has been removed or to which access has been disabled and the location
    at which the material appeared before it was removed or access to it was disabled.
  3. A statement under penalty of perjury that you have a good-faith belief the material was removed or disabled
    as a result of mistake or misidentification.
  4. Your name, address, and telephone number, and a statement that you consent to the jurisdiction of the Federal
    District Court for the judicial district in which your address is located (or, if outside the U.S., for any
    judicial district in which we may be found), and that you will accept service of process from the person who
    provided the original DMCA notice or an agent of such person.

Send the counter-notification to our Designated Agent above. If we receive a valid counter-notification, we may
restore the material unless the original claimant files a court action within the statutory period.

4) Repeat Infringers & Policy Enforcement

In appropriate circumstances, and at our discretion, we may suspend or terminate accounts of users who are
determined to be repeat infringers. We also reserve the right to remove content alleged to infringe without prior
notice if warranted.

5) Abuse of DMCA Process

Submitting false or bad-faith notices/counter-notices may have legal consequences. Please ensure you have a
good-faith basis and legal rights before filing.

Advertising & Sponsorship Policy

Effective Date: May 20, 2025

This policy explains how advertising and sponsorships appear in SymPedia. It supplements our
Terms of Service and Privacy Policy.

1. Where Ads Appear

  • Free plan: Ads may appear in designated placements within the app.
  • Paid plan (My SymPedia): Ad-free experience.
  • Ad formats may include banner, interstitial, native, or rewarded units (if used).

2. Ad Platform

We use Google AdMob to serve ads. AdMob may collect device identifiers, approximate location,
and engagement data to deliver and measure ads. See our Cookies & Tracking Policy
and Privacy Policy for details.

3. Editorial Independence

  • Advertising does not influence our product content, search, or results presentation.
  • We do not endorse advertised products or services.
  • Ads will be clearly distinguishable from content.

4. Prohibited Categories

We do not knowingly allow ads that promote illegal activity, hate, harassment, adult content,
or deceptive practices. Some categories may still appear if permitted by AdMob policies and
applicable law; we use reasonable efforts to apply brand-safety filters.

5. Interest-Based Ads & Controls

  • You may limit personalized ads via your device settings (e.g., “Limit Ad Tracking” / “Opt out of Ads”).
  • Manage Google ad preferences at
    myadcenter.google.com.

6. Sponsorships & Disclosures

  • If we present sponsored content or placements, we will label them as “Sponsored.”
  • Sponsorship does not imply endorsement.

7. Changes

We may update this policy to reflect product or regulatory changes. Updates will be posted here.

End User License Agreement

Effective Date: May 20, 2025

This End User License Agreement (“EULA”) is a legal agreement between you and
VerifyMD Inc. (“SymPedia,” “we,” “us,” or “our”) governing your use of the
SymPedia mobile and web applications, related software, and documentation (collectively, the “App”).
By installing or using the App, you agree to this EULA, our
Terms of Service and Privacy Policy.
If you do not agree, do not install or use the App.

1. License Grant

Subject to this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable,
revocable license to install and use the App on devices that you own or control for your personal,
non-commercial use, or for internal business purposes where applicable.

2. License Restrictions

  • Do not copy, modify, translate, adapt, create derivative works of, or reverse engineer the App
    except to the extent permitted by law.
  • Do not rent, lease, sell, sublicense, distribute, or otherwise transfer the App or any license rights.
  • Do not remove, alter, or obscure any proprietary notices or branding in the App.
  • Do not access or use the App to build a competing product or service, or to scrape, harvest,
    bulk export, or misuse data.
  • Do not attempt to bypass security, rate limits, entitlements, or payment requirements.

3. Ownership

The App is licensed, not sold. We and our licensors own all rights, title, and interest in and to the App,
including all intellectual property rights. This EULA does not grant you any ownership rights in the App.

4. Updates & Changes

We may provide updates, upgrades, patches, or changes to the App that may be required for continued use.
Some updates may be installed automatically. This EULA applies to any updates unless a separate license
accompanies the update.

5. Connectivity & Third-Party Services

The App may rely on third-party services (e.g., Stripe for payments, analytics, platform app stores).
Your use of those services is subject to their terms and policies. We are not responsible for third-party
services or networks.

6. Privacy & Data

Our handling of information is described in the Privacy Policy.
In general, we do not store full payment card numbers (handled by Stripe) and many preferences are stored
locally on your device. By using the App, you consent to our processing of information as described there.

7. Medical & Legal Disclaimer

The App provides educational information only and does not constitute medical advice. See our
Disclaimer and Terms of Service.
Always consult a qualified professional for medical decisions.

8. Term & Termination

This EULA is effective until terminated. It terminates automatically if you breach any provision,
or if your account is suspended or closed under the Terms of Service. Upon termination, you must stop
using the App and delete all copies from your devices. Sections intended to survive (e.g., Ownership,
Disclaimers, Limitation of Liability, Indemnification) will survive termination.

9. Open Source Components

The App may include or link to open-source software subject to applicable open-source licenses.
To the extent of any conflict, those licenses govern your use of the corresponding components.
Notices may be provided within the App or our repository/documentation.

10. Export & Sanctions Compliance

You represent that you are not located in, under control of, or a national or resident of any country
or on any list subject to U.S. or other applicable export embargoes or sanctions. You agree to comply
with all applicable export control and sanctions laws.

11. U.S. Government Rights

If the App is licensed by or on behalf of the U.S. Government, it is provided as “Commercial Computer Software”
and “Commercial Computer Software Documentation,” with only those rights as set forth in this EULA and FAR/DFARS
where applicable.

12. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED,
INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VERIFYMD Inc., ITS AFFILIATES, LICENSORS,
OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS EULA OR THE APP,
EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED
THE AMOUNT YOU PAID (IF ANY) FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS; YOUR RIGHTS MAY VARY.

14. Indemnification

You agree to defend, indemnify, and hold harmless VerifyMD Inc. and its affiliates, officers, employees,
and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable
attorneys’ fees) arising out of or in any way connected with your violation of this EULA, the Terms of Service,
or applicable law, or your misuse of the App.

15. App Store Terms

If you downloaded the App from an app store (e.g., Apple App Store or Google Play), you acknowledge
that: (a) this EULA is between you and VerifyMD Inc., not the store; (b) the store has no responsibility
for the App or its content; (c) your use of the App must comply with the store’s terms; and (d) the store
is a third-party beneficiary to this EULA with the right to enforce related terms against you.

16. Governing Law; Disputes

This EULA is governed by the same law and dispute provisions in our
Terms of Service, including any arbitration or venue requirements stated there.

17. Changes to this EULA

We may update this EULA from time to time. Continued use after an update constitutes acceptance.
The “Effective Date” above reflects the latest update.
